By creating an Account, using the Service, or accessing any part of Nexa, you agree to abide by these Terms and our Privacy Policy (linked separately). You represent and warrant that you are a university/college student eligible to use the Service as described herein.
The Service is strictly for verified university students. You must use a valid student email domain from an accredited university to register. Accounts not meeting these criteria will be suspended or terminated.
You agree to provide accurate, current, and complete information during registration and to update it as necessary. You are responsible for safeguarding your account credentials and for all activity under your account.
You retain ownership of all Content you submit, post, or display on or through the Service. When you provide Content through the Service, you grant Nexa a non-exclusive, worldwide, royalty-free license to host, use, distribute, modify, publicly perform, and display such Content to operate and improve the Service.
You represent and warrant that you own or have the necessary rights to all Content you make available via the Service.

Your use of the Nexa Service must comply with the Nexa Acceptable Use Policy, which supplements these Terms of Service and sets forth prohibited conduct and enforcement standards. By using Nexa, you agree to abide by the rules and restrictions set forth in the Acceptable Use Policy, available here. Violations of the Acceptable Use Policy may result in suspension or termination of your access to the Service.
Your use of Nexa must comply with the Nexa Community Guidelines, which outline expected behavior, prohibited content, and enforcement standards. By using Nexa, you agree to adhere to these guidelines. You can view the Community Guidelines here.
Nexa reserves the right to remove Content and terminate accounts violating these Terms.
Nexa uses automated systems, reports from users, and human moderation to enforce community standards. You acknowledge that Nexa does not guarantee the accuracy or review of all Content, but will take action on reported violations. Depending on severity or repeat violations, accounts may be warned, suspended temporarily, or permanently banned.
Please report harmful or unlawful Content through the in-app reporting tools.
The Service allows users to message other users. You consent that messages may be stored, monitored for safety, and used to enforce these Terms. Nexa will implement spam controls as the platform evolves.
Certain features of the Service may require a paid subscription. These will be introduced in future updates after the initial launch, and Nexa will update these Terms accordingly. You must accept updated Terms to use subscription features.
Nexa may suspend or terminate your access at any time, with or without notice, for conduct it believes violates these Terms or is harmful to other users. On termination, your right to use the Service immediately ceases. Nexa may retain certain information as required by law or to prevent abuse.

TO THE FULLEST EXTENT PERMITTED BY LAW, NEITHER NEXA NOR AUSCERA TECH LTD, NOR ANY OF THEIR AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, REPRESENTATIVES, PARTNERS OR LICENSORS WILL BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF BUSINESS, LOSS OF DATA, LOSS OF GOODWILL, OR HARM TO REPUTATION, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF NEXA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL THE TOTAL CUMULATIVE LIABILITY OF NEXA EXCEED THE AMOUNT YOU HAVE PAID AUSCERA TECH LTD, IF ANY, IN THE PRIOR TWELVE (12) MONTHS.
YOU AGREE TO INDEMNIFY, DEFEND AND HOLD HARMLESS NEXA, AUSCERA TECH LTD, AND THEIR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS AND AFFILIATES FROM AND AGAINST ANY AND ALL CLAIMS, LOSSES, LIABILITIES, DAMAGES, COSTS AND EXPENSES (INCLUDING REASONABLE ATTORNEYS' FEES AND EXPENSES) ARISING OUT OF OR RELATED TO:
These Terms are governed by the laws of Nigeria without regard to conflict of law provisions. Any dispute shall be resolved through binding arbitration, and you and Nexa waive the right to any class action or jury trial.
Nexa may modify these Terms at any time. We will notify you of material changes via in-app notice, website posting, or email. Continued use after changes indicates acceptance of the updated Terms.
These Terms, together with other policies referenced within, constitute the entire agreement between you and Nexa regarding the Service and supersede any prior agreements.
